Axiom Oracle Terms of Service

Effective Date: June 16, 2026

1. Definitions

In these Terms of Service ("Terms"), the following definitions apply:

"Axiom Oracle," "we," "us," or "our" means AO Tutoring LLC, a Wyoming limited liability company doing business as Axiom Oracle.

"Service" means the AI-powered tutoring service operated by Axiom Oracle, including (a) SMS-based tutoring delivered through our toll-free number, (b) web-view links sent within SMS conversations, (c) the Axiom Oracle web app at axiomoracle.ai (including LSAT/bar prep tools, community discussions, and blog content), and all related features, content, and functionality.

"User," "you," or "your" means any individual who accesses or uses the Service.

"Account" means the registered user account required to access the Service.

"AI Tutor" means the artificial-intelligence-powered tutoring system that generates educational content and responses.

"User Content" means any content you submit, post, or transmit through the Service, including community discussion posts, comments, messages, and any other material you provide.

"Subscription" means a paid recurring plan that grants access to the Service.

"Referral Program" means the program through which paying subscribers may earn continued free usage by referring new paying subscribers.

"Score-Share Graphic" means the shareable image generated by the Service displaying a user's study achievement and embedded referral code.

"Stage" means the user-selected tag identifying your position in the legal-education journey (e.g., prelaw, applying, admitted, 1L, 2L, 3L, bar-prep).

2. Acceptance of Terms

By creating an Account, accessing, or using the Service in any way, you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules we publish. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and AO Tutoring LLC. Please read them carefully.

3. Eligibility & Account Creation

3.1 Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By creating an Account, you represent and warrant that you meet this age requirement. The Service is not directed to children under 18.

3.2 Registration

To use the Service, you must create an Account by providing accurate, current, and complete information, including your name, mobile phone number, email address, and Stage. You agree to update your Account information promptly if it changes.

3.3 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to notify us immediately at support@axiomoracle.ai if you become aware of any unauthorized use of your Account.

3.4 One Account Per Person

Each individual may maintain only one Account. Creating multiple accounts to abuse promotions, the Referral Program, or any other feature is prohibited and may result in termination of all associated accounts.

4. Description of Service

Axiom Oracle provides AI-powered tutoring services covering the full legal-education journey, including LSAT preparation, law-school coursework (1L and beyond), MPRE preparation, and bar-exam preparation.

The Service is SMS-first by design. The core tutoring experience is delivered via text messages sent to and from our toll-free number (powered by Twilio). Longer or more complex responses are delivered through unique web-view links within the SMS conversation. The web app at axiomoracle.ai provides supplemental tools, including practice-question banks, performance analytics, community discussion forums, and a blog.

Your experience is personalized based on your Stage and study history. We may add, modify, or discontinue features of the Service at any time, with or without notice.

5. AI Terms & Disclosures

5.1 Nature of AI Output

The AI Tutor generates responses using third-party AI model providers (OpenAI and Anthropic). All AI-generated content is educational assistance only.

5.2 Not Legal Advice

AI tutoring output does not constitute legal advice, does not create an attorney-client relationship, and is not a substitute for the advice of a licensed attorney. Axiom Oracle is a tutoring service, not a law firm. No attorney-client, fiduciary, or professional relationship is formed between you and Axiom Oracle or between you and any AI model provider.

5.3 No Guarantee of Accuracy

AI-generated content may contain errors, omissions, or outdated information. We do not guarantee the accuracy, completeness, reliability, or currentness of any AI output. You are solely responsible for independently verifying any information provided by the AI Tutor before relying on it for any purpose, including exam preparation.

5.4 Data Processing

Your messages and study data are transmitted to third-party AI model providers to generate tutoring responses. These providers process your data as sub-processors under contractual obligations that prohibit them from using your data for purposes unrelated to delivering the Service. For details, see our Privacy Policy.

5.5 AI Training

Your conversation data is not used to train third-party AI models. Our agreements with AI model providers prohibit them from using your inputs to train or improve their general-purpose models. We may use aggregated, de-identified interaction data to improve our own tutoring prompts and workflows.

5.6 Quality Review

We may conduct limited human review of AI-tutoring conversations for quality assurance, accuracy monitoring, safety evaluation, and service improvement. Reviewers are bound by confidentiality obligations.

5.7 Automated Recommendations

The AI Tutor generates content recommendations, practice-question selections, and study-path suggestions based on your Stage, performance data, and stated goals. These are educational recommendations only. No automated decision with legal or similarly significant effect is made about you.

6. User Content & Intellectual Property

6.1 Ownership of Your Content

You retain ownership of all User Content you submit through the Service. Axiom Oracle does not claim ownership of your community posts, messages, or other user-submitted materials.

6.2 License Grant to Axiom Oracle

By submitting User Content, you grant Axiom Oracle a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, display, reproduce, modify (for formatting purposes), and distribute your User Content solely in connection with operating, promoting, and improving the Service. This license continues until you delete the User Content or your Account, except that (a) content shared with other users or in public forums may persist in those contexts, and (b) we may retain copies as reasonably necessary for legal compliance, backup, or archival purposes.

6.3 Public Visibility of Community Content

User Content posted in community discussions, forums, or blog comment sections may be visible to all registered users and, depending on the forum's settings, may be publicly accessible on the internet. You are solely responsible for the information you choose to share. Do not post anything you do not wish to be publicly available.

6.4 Content Moderation

We may (but are not obligated to) review, moderate, edit, or remove any User Content that, in our sole judgment, violates these Terms, our community guidelines, or applicable law. We are not responsible or liable for any User Content posted by you or by other users.

6.5 Representations About Your Content

You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and all applicable laws.

7. Payments & Subscriptions

7.1 Subscription Plans

Access to the Service requires a paid Subscription. Details of available plans, pricing, and features are published on our website. By subscribing, you agree to pay the applicable fees.

7.2 Billing & Renewal

Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan selection). Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us (through our payment processor, Stripe) to charge your payment method on file for each renewal period.

7.3 Payment Method

You must provide a valid payment method. All payments are processed by Stripe. We do not store full credit or debit card numbers. You are responsible for keeping your payment information current.

7.4 Cancellation

You may cancel your Subscription at any time through your Account settings or by contacting us at support@axiomoracle.ai. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until your current paid period expires.

7.5 Refunds

All subscription fees are non-refundable. You may cancel your Subscription at any time; cancellation stops future renewals and you keep access through the end of your current billing period. We do not provide refunds or credits for any unused portion of a billing period, except where a refund is required by applicable law.

7.6 Price Changes

We may change Subscription pricing at any time. We will provide you with at least 30 days' advance notice of any price increase (via email or in-app notification). If you do not agree to the new pricing, you may cancel before the price change takes effect.

7.7 Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or other taxes imposed on your Subscription (other than taxes on our net income).

7.8 Free Trials & Promotional Offers

We may offer free trials or promotional pricing from time to time. Unless you cancel before the trial or promotional period ends, your Subscription will convert to a paid plan at the then-current rate, and your payment method will be charged.

8. Referral Program

8.1 Eligibility

Only active paying subscribers in good standing may participate in the Referral Program. Participation is voluntary.

8.2 How It Works

Eligible subscribers receive a unique referral code and may generate a Score-Share Graphic that embeds their code. When a new user signs up for a paid Subscription using your referral code, you earn continued free usage of the Service as specified in the program details published on our website.

8.3 Referred User Requirements

To qualify as a valid referral, the referred individual must be a genuinely new user who has never previously held an Axiom Oracle Account and who purchases and maintains a paid Subscription.

8.4 Crediting Rewards

Free-usage rewards are credited to your Account after the referred user's first successful payment is processed and any applicable refund window has expired. Reward amounts and terms are as published on our website and may be modified at our discretion.

8.5 Anti-Abuse Rules

The following are strictly prohibited:

• Self-referral (referring yourself using a different account, phone number, or identity).
• Creating fake accounts to generate referral credits.
• Spamming, sending unsolicited messages, or using deceptive practices to distribute your referral code.
• Selling, trading, or purchasing referral codes.
• Any other scheme to manipulate or fraudulently exploit the Referral Program.

Referral codes are personal and non-transferable. We reserve the right to investigate suspicious activity and, in our sole discretion, to revoke rewards obtained through fraud or abuse, suspend or terminate your Account, and/or disqualify you from the Referral Program.

8.6 Program Modifications

We may modify, suspend, or terminate the Referral Program at any time, with or without notice. Accumulated rewards that have already been credited will be honored; pending or future rewards may be forfeited upon program termination.

9. Acceptable Use & Academic Integrity

9.1 Permitted Use

You may use the Service for your personal, non-commercial educational purposes in connection with your legal-education journey. You agree to use the Service in compliance with these Terms and all applicable laws.

9.2 Academic Integrity

You agree that you will not use the Service to:

• Cheat on, obtain unauthorized assistance during, or otherwise violate the rules of any live, proctored, or official examination, including the LSAT, MPRE, bar exam, or any law-school examination.
• Violate the policies of LSAC, NCBE, any state bar, any law school, or any other testing authority.
• Submit AI-generated content as your own original work in violation of any academic-integrity policy.

You are solely responsible for understanding and complying with the rules of your educational institution, testing authority, and jurisdiction. Axiom Oracle is not responsible for any consequences arising from your misuse of the Service in violation of academic-integrity rules.

9.3 Prohibited Conduct

You agree that you will not:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Harass, threaten, defame, or discriminate against any other user or person.
• Post or transmit content that is obscene, hateful, fraudulent, or that infringes any third party's intellectual property or other rights.
• Scrape, crawl, spider, or use any automated means to access the Service or extract data or content.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
• Resell, redistribute, sublicense, or commercially exploit any content, AI outputs, or materials obtained through the Service without our prior written consent.
• Circumvent, disable, or interfere with any security, access-control, or rate-limiting features of the Service.
• Use bots, scripts, or other automated tools to interact with the Service (unless expressly permitted by us in writing).
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Introduce viruses, malware, or other harmful code.

9.4 Enforcement

We reserve the right to investigate violations of this Section 9 and to take any action we deem appropriate, including warning, suspension, or termination of your Account, removal of content, and reporting to law enforcement or relevant authorities.

10. Disclaimers & Limitation of Liability

10.1 "AS IS" / "AS AVAILABLE"

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

10.2 No Warranty of Accuracy or Availability

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

10.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXIOM ORACLE, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE TOTAL FEES YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

10.5 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS IN THIS SECTION 10 REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND AXIOM ORACLE. AXIOM ORACLE WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Axiom Oracle and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights.

12. Intellectual Property Ownership

12.1 Axiom Oracle's IP

The Service, including its design, software, algorithms, text, graphics, logos, trademarks, and all other content and materials (excluding User Content), is owned by or licensed to Axiom Oracle and is protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property except the limited right to use the Service in accordance with these Terms.

12.2 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse engineer or attempt to extract the source code of any software that forms part of the Service, except as permitted by law or with our express written permission.

12.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback without any obligation to you.

13. Third-Party Services

The Service may integrate with, rely on, or link to third-party services, including:

• Twilio (SMS delivery)
• Stripe (payment processing)
• OpenAI and Anthropic (AI model inference)
• Third-party websites linked from our blog, community, or AI responses

Your use of third-party services is subject to their respective terms and privacy policies. We do not control and are not responsible for third-party services. Third-party service availability, accuracy, and performance are not guaranteed by us.

14. Communication Consent

14.1 Transactional & Service Communications

By creating an Account, you consent to receive transactional and service-related communications from us via email and SMS, including account verifications, subscription confirmations, payment receipts, security alerts, and tutoring responses.

14.2 SMS Consent & Disclosures

By providing your mobile phone number and enrolling in the Service, you provide your express written consent to receive recurring text messages from Axiom Oracle at the mobile number you provide. This consent is not a condition of purchase, although you must provide a phone number to use the SMS-based tutoring service.

Message Frequency: Message frequency varies based on your usage of the tutoring service.

Message & Data Rates: Standard message and data rates from your mobile carrier may apply.

Opt-Out: You may opt out of all SMS messages at any time by texting STOP to our toll-free number. You will receive a single confirmation message and no further texts unless you re-enroll. Opting out will prevent you from using the SMS-based tutoring features.

Carriers: Carriers are not liable for delayed or undelivered messages.

Your phone number and message content are transmitted through Twilio. Twilio's handling of this information is governed by Twilio's privacy policy and our data-processing agreement with Twilio.

14.3 Marketing Communications

We may send you promotional communications (via email or SMS) about new features, content, or offers. You may opt out of promotional communications at any time by (a) following the unsubscribe instructions in the message, (b) texting STOP for SMS marketing, or (c) adjusting your notification preferences in your Account settings. Opting out of promotional messages will not affect transactional or service-related messages.

14.4 Consent Not Required for Purchase

Your consent to receive promotional messages is not a condition of purchasing a Subscription.

15. Suspension & Termination

15.1 Termination by You

You may terminate your Account at any time by canceling your Subscription and requesting account deletion through your Account settings or by contacting support@axiomoracle.ai. Termination does not entitle you to a refund except as provided in Section 7.5.

15.2 Suspension or Termination by Us

We may suspend or terminate your Account and access to the Service, in whole or in part, at any time and for any reason, including if we reasonably believe that you have violated these Terms. Where practicable, we will provide notice and an opportunity to cure, but we are not required to do so, particularly in cases of serious or repeated violations.

15.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases; (b) you remain liable for any fees incurred prior to termination; (c) provisions of these Terms that by their nature should survive (including Sections 5.2, 5.3, 6, 10, 11, 12, 16, and 17) will survive termination.

15.4 Data After Termination

Following Account termination, we will handle your personal information in accordance with our Privacy Policy, including applicable deletion timelines.

16. Dispute Resolution & Arbitration

16.1 Informal Resolution

Before initiating any formal dispute-resolution proceeding, you agree to first contact us at support@axiomoracle.ai and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved without formal proceedings.

16.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Axiom Oracle agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the formation, performance, breach, or termination thereof) shall be resolved exclusively through final and binding individual arbitration, rather than in court. This includes claims that arose before the existence of these Terms.

Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if applicable, its Comprehensive Arbitration Rules), as modified by this Section. The arbitration will be conducted in Georgia (or, at your election, by phone or videoconference). The arbitrator shall have exclusive authority to resolve all disputes, including whether a particular claim is arbitrable.

16.3 Class-Action Waiver

YOU AND AXIOM ORACLE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative, class, or collective proceeding.

16.4 Exceptions

Notwithstanding the foregoing, either party may: (a) bring an individual action in small claims court if the claim qualifies; (b) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights; or (c) bring claims that cannot be arbitrated as a matter of applicable law.

16.5 Arbitration Opt-Out

You may opt out of this arbitration provision by sending written notice to 1621 Central Ave #61649, Cheyenne, WY 82001 within 30 days of first accepting these Terms. Your notice must include your name, Account email, phone number, and a clear statement that you wish to opt out of arbitration. If you opt out, the dispute will be resolved in court as provided in Section 17. Opting out will not affect any other provisions of these Terms.

16.6 Severability of Arbitration Provisions

If the class-action waiver in Section 16.3 is found to be unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and proceed in court (subject to Section 17), and the remaining claims shall proceed in individual arbitration.

17. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. For any claims that are not subject to arbitration, you and Axiom Oracle consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, internet or telecommunications failures, power outages, or third-party service-provider outages (including AI model providers, Twilio, or payment processors).

19. Modifications to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and provide notice through reasonable means (such as in-app notification, SMS, or email) at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the modified Terms. If you do not agree to the modifications, you must stop using the Service and cancel your Subscription before the effective date of the new Terms.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and Axiom Oracle with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

22. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in whole or in part without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

23. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. A failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
